  1. Any questions or concerns related to the processes, special requirements, products or services to be provided including the identification of relevant data, specifications, drawings, processes and work instructions need to be communicated and resolved prior to the commencement of work.
  2. Hi-Grade must approve the products and services provided, the methods and processes, the release of product and equipment used. Any changes to previously approved processes or methods must be approved by Hi-Grade prior to implementation of changes.
  3. External Provider shall ensure that employees are competent in the processes and methods prior to performing services to Hi-Grade parts.
  4. External Provider must allow verification and validation activities to be performed at External Supplier facility by Hi-Grade or its Customer(s) and any Regulatory Authorities upon reasonable notification to applicable areas of the facility and to documented information at any level of the supply chain.
  5. External Supplier shall supply test specimens if requested.
  6. Hi-Grade must approve all test, inspection and verification processes along with any statistical techniques required for inspection reporting.
  7. External Provider shall implement a quality management system and allow Hi-Grade to verify the effectiveness of the system.
  8. Notify Hi-Grade of any non-conforming processes, products, or services and obtain approval for their disposition.
  9. External Supplier shall prevent the use of counterfeit parts.
  10. Notify Hi-Grade of any changes to external suppliers used by Hi-Grade approved External Suppliers.
  11. Ensure proper flow down of Hi-Grade requirements to external providers used by Hi-Grade approved External Supplier.
  12. Retain all quality related documents for a minimum of 3 years after PO completion date. External Providers shall request disposition from Hi-Grade prior to disposal of any quality related documents.
  13. Ensure that all External Provider employees are aware of their contribution to product or service conformity, product safety and the importance of ethical behavior.
  14. Hi-Grade requires that all External Providers apply applicable controls to their direct and sub-tier external providers to ensure the above requirements flow down accordingly.



This Code of Conduct defines the basic requirements placed on Hi-Grade suppliers and third-party intermediaries concerning their responsibilities toward their stakeholders and the environment. Hi-Grade reserves the right to reasonably change the requirements of this Code of Conduct at any time and at its discretion. In such event, Hi-Grade expects suppliers to accept such reasonable changes.

The supplier and/or third-party intermediary declares the following:

  • Legal compliance
    • To comply with the laws of the applicable legal systems.
  • Prohibition of corruption and bribery
    • To tolerate no form of and not to engage directly in or indirectly in any form of corruption or bribery and not to grant, offer, or promise anything of value to a government official or to a counterparty in the private section to influence official action or obtain an improper advantage.
  • Fair competition, anti-trust laws and intellectual property rights
    • To act in accordance with national and international competition laws and not to participate in price fixing, market or customer allocation, market sharing, or bid rigging with competitors;
    • To respect the intellectual property rights of others.
  • Conflicts of interest
    • Avoid all conflicts of interest that may adversely influence business relationships.
  • Respect for basic human rights of employees
    • To promote equal opportunities for and treatment of its employees irrespective of skin color, race, nationality, social background, disabilities, sexual orientation, political or religious affiliations, sex, or age;
    • To respect personal dignity, privacy and rights of everyone;
    • To refuse to employ or make any person work against their will;
    • To refuse to tolerate any unacceptable treatment of employees such as mental cruelty, sexual harassment, or discrimination;
    • To prohibit behavior including gestures, language, and physical contact that is coercive, threatening, abusive or exploitative;
    • To provide fair remuneration and to guarantee the applicable national statutory minimum wage;
    • To comply with maximum number of working hours laid down in applicable national laws;
    • To recognize as far as legally possible, the right of free association of employees and to neither favor or discriminate against members of employee organizations or trade unions.
  • Prohibition of child labor
    • To employ no workers under the age of 15 or, in those countries subject to the developing country exception of the ILO convention 138, to employ no workers under the age of 14.
  • Health and safety of employees
    • To take responsibility for the health and safety of its employees;
    • To control hazards and take the best reasonable precautionary measures against accidents and occupational hazards/diseases;
    • To provide training and ensure that employees are educated in health and safety issues;
    • To set up or use reasonable occupational health and safety reporting and management systems.
  • Environmental protection
    • To act in accordance with applicable statutory and international standards regarding environmental protections;
    • To minimize environmental pollution and make continuous improvements in environmental protection;
    • To set up or use a reasonable environmental management system.
  • Supply chain
    • To use reasonable efforts to promote among its suppliers’ compliance with this Code of Conduct;
    • To comply with principles of non-discrimination with regard to supplier and treatment.
  • Conflicts minerals
    • To take reasonable efforts to avoid in its products the use of any raw materials which directly or indirectly finance armed groups who violate human rights.
  • Notification of Hazardous Product
    • Seller/Supplier herby agrees to notify Hi-Grade of any inherent hazard related to the goods being purchased herein that would expose the hazard during handling; transportation; storage; use; resale; disposal; or scrap;
    • Said notice shall specify: the product name and part number; the nature of the hazard; proper precautions that must be undertaken by Hi-Grade or others; and any additional information that Hi-Grade should reasonably know to protect its interest.
